Terms of Service

These Terms of Service (hereinafter referred to as the "Terms") set forth the conditions for use of various services (hereinafter collectively referred to as the "Service") provided through the Halatte! website, application, or other platforms, by the administrator and operator of the Service (hereinafter referred to as the "Operator"). These Terms apply to all users who use the Service (hereinafter referred to as the "Users").

Article 1 (Agreement to These Terms)

By using the Service, Users are deemed to have given valid and irrevocable consent to these Terms. Users who do not agree to these Terms may not use the Service.

Article 2 (User Registration)

Any person wishing to use the Service shall apply for registration in accordance with the method prescribed by the Operator after agreeing to these Terms. Registration shall be completed when the Operator approves such application.

Article 3 (Refusal of Registration)

The Operator may refuse to approve a registration application if it determines that any of the following circumstances apply. The Operator shall have no obligation to disclose the reasons for such refusal.

  • If false information has been submitted
  • If the applicant has previously violated these Terms
  • If the Operator otherwise deems the registration inappropriate

Article 4 (Use by Minors)

If a User is a minor, the User must obtain the consent of a legal guardian before using the Service. The use of smartphones or other devices required to use the Service must also be approved by the legal guardian. If a User who began using the Service without the consent of a legal guardian reaches the age of majority, the User shall be deemed to have ratified all acts performed while a minor.

Article 5 (Management of Login Information)

Users shall manage their login information at their own responsibility. Users may not transfer, lend, or share their login information with any third party under any circumstances. The Operator shall not be liable for any damages caused by the use of login information by a third party, unless such damages are attributable to the Operator’s willful misconduct or gross negligence.

Article 6 (Use of Content)

The Operator grants Users permission to use texts, images, videos, audio, music, software, programs, code, and other content provided through the Service, solely for personal use within the scope of using the Service. For paid content, such permission shall be granted only after payment of the prescribed usage fees. This permission constitutes a non-exclusive, non-transferable, and non-sublicensable right of use. Any use beyond this scope is strictly prohibited. For any reason, if a User loses the right to use the Service, the User agrees in advance that all use of the Service’s content shall immediately cease.

Article 7 (Late Payment Charges)

If a User delays payment of any monetary obligation to the Operator, the User shall pay late payment damages at an annual rate of 14.6%.

Article 8 (User Submissions)

Users represent and warrant to the Operator that they have the lawful right to transmit information included in their submissions and that such submissions do not infringe upon the intellectual property rights (including copyrights, patents, utility model rights, trademark rights, and design rights, as well as rights to acquire or apply for such rights), ownership rights, or any other rights of third parties. Copyrights to User submissions shall remain with the User. The Operator shall not acquire copyrights to such submissions. However, the Operator may, free of charge, indefinitely, and without territorial limitation, reproduce, adapt, publicly transmit, and make transmittable such submissions to the extent necessary for providing, maintaining, improving, or promoting the Service. In such cases, Users agree not to exercise moral rights against the Operator or its successors or licensees. Users shall back up their submissions at their own responsibility. The Operator shall have no obligation to back up User submissions. Users shall not post any information that falls under any of the following categories:

  • Information that infringes the intellectual property rights, portrait rights, privacy, reputation, or other rights or interests of the Operator or third parties
  • Personally identifiable information of Users, except where required for registration or otherwise permitted by the Operator
  • Obscene expressions
  • Information intended to seek encounters or engage in obscene acts with strangers
  • Content that encourages, solicits, or facilitates suicide or self-harm
  • Information regarding the sale of drugs or dangerous substances, or that promotes improper use thereof
  • Information related to religious activities, religious organizations, political activities, or political organizations
  • Solicitation related to network marketing
  • Spam or junk mail content
  • Information that may adversely affect minors
  • Cruel expressions or content that may cause discomfort to others
  • Information containing computer viruses or other malicious programs
  • Any other information deemed inappropriate by the Operator

Article 9 (Advertisements)

The Operator may display advertisements of the Operator or third parties within the Service.

Article 10 (Prohibited Acts)

Users shall not engage in any of the following acts when using the Service:

  • Acts that violate laws, court judgments, orders, or legally binding administrative measures
  • Acts related to criminal activities
  • Infringement of intellectual property rights of the Operator or third parties
  • Infringement of portrait rights, privacy, reputation, or other rights or interests of the Operator or third parties
  • Acts that impose excessive load on servers or networks, or interfere with their operation
  • Acts that interfere with the operation of the Service
  • Unauthorized access or attempts thereof
  • Reverse engineering, decompiling, or disassembling the Service
  • Unauthorized access to systems connected to the Service or unauthorized modification or deletion of stored information
  • Copying, transmitting, transferring, lending, or modifying the Service or its software
  • Selling, transferring, lending, or otherwise providing accounts or content for compensation
  • Commercial use of information obtained through the Service
  • Gaining benefits through unintended means
  • Unauthorized advertising, solicitation, or business activities on the Service
  • Collecting or storing personal information of other Users
  • Use of the Service for illegal or improper purposes
  • Acts causing disadvantage, damage, or discomfort to others
  • Impersonation of other Users
  • Use of another User’s account
  • Seeking encounters with strangers
  • Providing benefits to antisocial forces
  • Acts contrary to public order and morals
  • Using the Service while walking, driving, or in other inappropriate situations
  • Any other acts deemed inappropriate by the Operator

Article 11 (Prohibition of Cash Conversion)

Any content or virtual currency obtained within the Service may not be subject to any of the following transactions, regardless of the method:

  • Sale or purchase
  • Transfer, lending, borrowing, or similar acts involving monetary or other consideration
  • Any other acts deemed by the Operator to constitute cash conversion

Article 12 (Exclusion of Antisocial Forces)

The User represents and warrants that none of the following applies to the User, and further represents and warrants that none of the following shall apply in the future:

  • The User (including, in the case of a corporation or other organization, its officers) is a member of an organized crime group, a member of an organized crime group, a former member of an organized crime group who has not elapsed five (5) years since leaving such group, an associate member of an organized crime group, a company affiliated with an organized crime group, a corporate extortionist (sokaiya), a group or individual claiming to conduct social movements, a special intelligence violent group, or any other person equivalent thereto (collectively referred to as "Antisocial Forces").
  • In the case where the User is a corporation or other organization, Antisocial Forces are deemed to control its management.
  • In the case where the User is a corporation or other organization, Antisocial Forces are deemed to be substantially involved in its management.
  • The User is deemed to have a relationship in which Antisocial Forces are used for the purpose of obtaining unjust profits for oneself or a third party, or for the purpose of causing damage to a third party, including conducting transactions through such forces.
  • The User is deemed to have a relationship involving the provision of funds or other benefits to Antisocial Forces, or otherwise facilitating or assisting them.
  • In the case where the User is a corporation or other organization, its officers or persons substantially involved in its management have relationships with Antisocial Forces that are socially reprehensible.

The User further warrants that the User shall not, either directly or through a third party, engage in any of the following acts:

  • Violent or coercive demands.
  • Unreasonable demands exceeding legal responsibility.
  • Threatening behavior or use of violence in connection with transactions.
  • Spreading rumors, using fraudulent means, or using force to damage the credibility of the Operator or interfere with the Operator’s business.
  • Any other acts similar to or comparable to the foregoing.

Article 13 (Restriction of Use)

If the Operator determines that the User falls under any of the following circumstances, the Operator may, without prior notice, restrict the User’s use of all or part of the Service or terminate the User’s registration. The Operator shall not be liable for any damages incurred by the User as a result of actions taken pursuant to this Article.

  • The User violates any provision of these Terms.
  • It is discovered that false information has been included in the registration details.
  • The User fails to fulfill any monetary obligations.
  • The User fails to respond to communications from the Operator for a reasonable period of time.
  • The User has not used the Service for a considerable period of time since the last use.
  • The Operator determines that the User is an Antisocial Force or has any interaction or involvement with Antisocial Forces.
  • Any other circumstance in which the Operator determines that the User’s use of the Service is inappropriate.

Article 14 (Suspension of the Service)

The Operator may suspend or interrupt the provision of all or part of the Service without prior notice to the User if the Operator determines that any of the following circumstances apply. The Operator shall not be liable for any disadvantage or damage suffered by the User or any third party as a result thereof.

  • When performing maintenance, inspection, or updates of the computer systems related to the Service.
  • When the provision of the Service becomes difficult due to force majeure, including earthquakes, lightning, fires, power outages, natural disasters, or the spread of viruses.
  • When computers, communication lines, or related systems are suspended due to accidents.
  • Any other circumstance in which the Operator determines that it is difficult to provide the Service.

Article 15 (Withdrawal)

Users may withdraw from the Service by completing procedures specified by the Operator.

Article 16 (Disclaimer of Warranties)

The Operator does not warrant that the Service or its content is free from defects, infringements, or that it is safe, accurate, complete, or fit for a particular purpose.

Article 17 (Limitation of Liability)

The Operator shall not be liable for any damages arising from use of the Service. If these Terms constitute a consumer contract under Japanese law, liability shall be limited to direct and actual damages caused by the Operator’s negligence (excluding gross negligence), up to the lesser of one month’s usage fee or JPY 10,000.

Article 18 (Changes and Termination of the Service)

The Operator may change, suspend, or terminate the Service without notice. Users agree in advance that they will lose all rights to paid content upon termination, and the Operator shall not be liable for any resulting damages.

Article 19 (Amendment of These Terms)

The Operator may amend these Terms at any time without notice. The amended Terms shall become effective upon posting on the Operator’s website. Continued use constitutes acceptance.

Article 20 (Handling of Personal Information)

Personal information obtained through the Service shall be handled in accordance with the Operator’s Privacy Policy.

Article 21 (Notices)

Notices or communications shall be made by methods specified by the Operator and shall be deemed received at the time of dispatch to the registered contact information.

Article 22 (Assignment of Rights and Obligations)

Users may not assign or pledge their contractual position, rights, or obligations without prior written consent from the Operator.

Article 23 (Business Transfer)

In the event of a business transfer, the Operator may transfer contractual positions, rights, obligations, and User information to the transferee. Users are deemed to have consented in advance.

Article 24 (Governing Relationship)

These Terms govern all relationships related to the use of the Service. Other rules established by the Operator shall form part of these Terms, and in case of conflict, such rules shall prevail.

Article 25 (Severability)

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Article 26 (Governing Law and Jurisdiction)

These Terms shall be governed by the laws of Japan. Any disputes shall be subject to the exclusive jurisdiction of the district court having jurisdiction over the Operator’s principal place of business.
